Parties

1. RetLabel Studios, a brand of REAL8 (REAL8 Business Group), Vinkeniersweg 4, 9506 Grimminge (Geraardsbergen), Belgium, email retlabelstudios@real-8.com, phone +32 456 99 50 62, website retlabelstudios.com, represented by Reggie Duisterhof, hereinafter "RetLabel";

and

2. {{party_legal_name}}, performing as "{{party_name}}", residing at / established at {{party_address}}, {{party_postcode}} {{party_city}}, {{party_country}}, date of birth {{party_birthdate}}, email {{party_email}}, phone {{party_phone}}, hereinafter the "Producer";

together the "Parties".

1. Purpose

1.1 RetLabel runs an online music and creative platform at retlabelstudios.com (the "Platform"), with a beat shop where producers offer beats and sample packs to artists and other buyers, and radio pages where producers and DJs host live shows.

1.2 The Producer portal is free of charge. RetLabel earns a commission on sales and a fee on withdrawals (article 5). This agreement is not exclusive: the Producer stays free to sell their work anywhere else.

2. The Producer's work

2.1 The Producer keeps the copyright in their beats, stems, sounds, sample packs, artwork and texts (the "Works").

2.2 The Producer grants RetLabel a non-exclusive, worldwide licence, for the duration of this agreement, to store the Works, to make and show previews (including a voice tag), to show the Works and the Producer's name, likeness and texts on the Platform and in RetLabel's promotion, and to grant licences to buyers on the Producer's behalf under the licence terms of article 3.

2.3 The Producer sets the price of every licence, excluding VAT. RetLabel adds VAT at checkout where it is due and pays it to the tax authorities.

3. Licences to buyers

3.1 A buyer receives the licence they paid for, as shown on the Platform at the time of purchase, and a licence document (PDF) with the buyer, the Work, the licence type, the date and the Producer:

a. Free download: the tagged MP3, for non-profit use only; no distribution to streaming services, no sales; the Producer must be credited. b. Basic lease: the untagged MP3; up to 10,000 streams and one music video; non-exclusive. c. Premium lease: WAV and MP3; up to 100,000 streams, music videos, radio and live shows; non-exclusive. d. Unlimited lease: WAV, MP3 and stems; unlimited streams and sales, music videos, radio and live shows; non-exclusive. e. Exclusive rights: all files and exclusive use by the buyer. The beat is removed from the beat shop immediately. Leases granted before stay valid.

3.2 Under every licence the buyer owns the copyright in their own vocals and lyrics, and the Producer keeps the copyright in the beat. The Producer's songwriting / production share and the credit "Prod. by {{party_name}}" are kept under every licence. Collective management (performing rights) stays with the Producer and their collecting society.

3.3 A sample pack is licensed to the buyer for use in their own productions, also commercially, but may not be resold or shared as sounds or as a sample pack.

4. Warranties of the Producer

4.1 The Producer warrants that:

a. the Works are their own original work, or that they hold all rights needed to license them (including cleared samples, loops and presets); b. the Works do not infringe the rights of others and are not offered exclusively to anyone else at the same time; c. an exclusive is not sold when the beat was already sold exclusively elsewhere; d. the information in the profile and in Annex A is correct; e. they are 18 years or older, or a parent or legal guardian co-signs this agreement.

4.2 The Producer indemnifies RetLabel against claims by third parties that result from a breach of these warranties, including the refund of the buyers concerned.

5. Money

5.1 RetLabel collects the payments of buyers (Stripe) in its own name and on behalf of the Producer.

5.2 For every sale RetLabel keeps a commission of 17% of the price excluding VAT; this also covers the payment costs. The remaining 83% is credited to the Producer's wallet on the Platform.

5.3 A sale becomes available in the wallet 7 days after the sale, so that chargebacks and fraud can be handled. A refunded or charged-back sale is taken back from the wallet.

5.4 The Producer can withdraw an available balance of €20 or more, by bank transfer (IBAN / SEPA), PayPal, Wise, Remitly or another way agreed with RetLabel. RetLabel keeps a fee of 17% of the amount withdrawn, plus the costs of the payout method where shown in the portal. RetLabel pays within 30 days of the request.

5.5 RetLabel may change the percentages of articles 5.2 and 5.4 with 30 days' notice by email; the Producer may end the agreement before the change takes effect.

5.6 The Producer is responsible for their own taxes and, where applicable, for registering as a business. RetLabel provides a monthly statement in the portal.

6. Radio shows and DJ sets

6.1 The Producer streams radio shows and DJ sets on their own account (for example YouTube, Twitch, Facebook or Mixcloud) or their own audio stream. RetLabel shows the stream on the Platform.

6.2 The Producer is responsible for the rights of the music played (for example through the licences of the streaming platform or a collecting society), and follows the terms of the platform where they stream.

7. Review, removal and takedown

RetLabel may refuse or remove Works or shows that breach this agreement, the law or the Platform's terms of use, or that are the subject of a credible notice of infringement; for such a notice RetLabel aims to act within 48 hours. In line with the EU Digital Services Act, RetLabel informs the Producer of the decision and the reasons for it, and the Producer can object in the portal. The Producer can remove their own Works at any time; licences already sold stay valid.

8. Personal data

REAL8 processes the Producer's personal data as controller, to perform this agreement and to meet legal obligations, in line with the GDPR and the Platform's privacy policy. The e-mail addresses of buyers or downloaders are only shared with the Producer when the person agreed to that.

9. Term and termination

9.1 This agreement starts when both Parties have signed it, and runs for an indefinite period.

9.2 The Producer may end it at any time with 14 days' notice, and RetLabel with 30 days' notice, through the portal or by email. Either Party may end it immediately in case of a serious breach by the other Party.

9.3 When the agreement ends, the Works leave the beat shop within 14 days. Licences already sold stay valid. The available balance is paid out after the last 7-day period, minus the fee of article 5.4.

10. Liability

RetLabel is not liable for indirect damage. RetLabel's total liability under this agreement is limited to the commissions RetLabel received from the Producer in the 12 months before the claim, except in case of intent or gross negligence, or where the law does not allow liability to be limited.

11. Other provisions

11.1 This agreement may be signed electronically in the portal (Regulation (EU) No 910/2014, eIDAS), or printed, signed by hand and uploaded.

11.2 If a provision is invalid, the other provisions remain in force.

11.3 This agreement is written in English. Translations are for convenience only.

11.4 This agreement is governed by Belgian law. Disputes go to the competent courts of Ghent, Belgium (division Oudenaarde), without affecting the mandatory protection a consumer has under the law of their country of residence.
